The name of the G.S.C.A.S.L. shall be the Greater Stark County Amateur Soccer League, INC. (G.S.C.A.S.L.). The G.S.C.A.S.L. shall be under the direction and supervision of the Board of Trustees.
Section 1:
The purpose of the G.S.C.A.S.L. shall be to provide the opportunity
to play soccer for amateurs within the geographic guidelines as established by the
Executive Board; also to provide for a high level of participation in a team sport
among amateurs. Said organization is organized exclusively for charitable,
educational, and scientific purposes, including, for such purposes, the making of
distributions to organizations that qualify as exempt organizations under section
501(c) (4) or some other applicable section of the Internal Revenue Code of 1954,
or corresponding section of any future federal tax code.
Section 2:
No part of the net earnings of the organization shall inure to the
benefit of, or be distributable to its members, trustees, officers, or other
private persons, except that the organization shall be authorized and empowered to
pay reasonable compensation for services rendered and to make payments and
distributions in furtherance of the purposes set forth in the purpose clause hereof.
No substantial part of the activities of the organization shall be the carrying on
of propaganda, or otherwise attempting to influence legislation, and the
organization shall not participate in, or intervene in (including the publishing
or distribution of statements) any political campaign on behalf of any candidate for
public office. Notwithstanding any other provision of this document, the
organization shall not carry on any other activities not permitted to be carried
on (a) by an organization exempt from federal income tax under section 501(c) (4)
or some other applicable section of the Internal Revenue Code of 1954, or
corresponding section of any future federal tax code, or (b) by an organization,
contributions to which are deductible under section 170(c) (2) of the Internal
Revenue Code, or corresponding section of any future federal tax code.
Section 3:
This League shall have no capital stock. Its object and purpose is
solely of a benevolent character and not for individual pecuniary gain or profit to
its members.
Section 1:
Individual soccer clubs, teams, and persons registered individually by
the G.S.C.A.S.L. are eligible to play in leagues organized by the G.S.C.A.S.L. One
representative from each club will become a member of the G.S.C.A.S.L.
Section 2:
All applications for team, club, or individual registration to play in
the G.S.C.A.S.L. shall be subject to the approval of the Board of Trustees.
Section 3:
The annual meeting of the membership shall be held in December of each
year at a time and place to be fixed by the Board of Trustees for the purpose of
receiving reports of officers and commissioners and members of the G.S.C.A.S.L., to
elect officers of the G.S.C.A.S.L., and to act on any other matters which may
properly come before the annual meeting. Notice of such meetings shall be mailed
by the Secretary to the membership of the G.S.C.A.S.L. at least thirty (30) days
before the date of the meeting.
Section 4:
Special meetings of the G.S.C.A.S.L. membership may be held at the
call of the President.
Section 5:
A simple majority of the membership of the G.S.C.A.S.L. present in
person shall constitute a quorum at any meting of the G.S.C.A.S.L.
In the absence of a quorum, a majority of those present at the time and place set
for a meeting may take an adjournment from time to time until a simple majority
shall be present.
Section 6:
Regular meetings of the G.S.C.A.S.L. membership shall be established by
the Executive Board. Said meetings shall be held in this matter during a current
season. The President of the Board of Trustees may schedule meetings during the
off season when necessary.
Section 7:
Each club representative (or his/her alternate) shall attend all
regularly scheduled general meetings of the G.S.C.A.S.L., unless the Board of
Trustees meet in executive session.
Section 8:
There shall be a vote on all matters brought before the membership in
the form of a motion and second. Voting shall be conducted through a roll call of
club representatives of a show of hands. Each club will receive the number of votes
determined by Article IX section 2 of the G.S.C.A.S.L. By-Laws.
Section 9:
A motion requires a second and a simple majority to pass.

be mailed by the Secretary to the members of the Board of Trustees at least thirty

the membership present at the annual meeting of the G.S.C.A.S.L.. The Executive
board will consist of six elected officers plus the appointed Registrar.
Section 2:
The business, property and affairs of the G.S.C.A.S.L. shall be managed
by the Executive Board which shall have the power to initiate and approve plans
and programs for the welfare of amateurs; have custody and management of all assets
of the G.S.C.A.S.L.; and conduct necessary business affairs of the G.S.C.A.S.L.;
and perform all other duties and shall have such others powers as may be necessary
to carry out the purpose of the G.S.C.A.S.L.
Section 3:
The annual meeting of the Executive Board shall be held in December of
each year at a time and place to be fixed by the Board of Trustees for the purpose
of receiving reports of officers and commissioners and members of the G.S.C.A.S.L.,
to elect officers of the G.S.C.A.S.L. and to act on any other matters which may
properly come before the annual meeting. Notice of such meetings shall be mailed
by the Secretary to the members of the Executive Board at least thirty (30) days
before the date of the meeting.
Section 4:

President of the Board of Trustees.
Section 5:

constitute a quorum at any meting of the Executive Board. In the absence of a

Executive Board. Said meetings shall be held in this matter during a current
season. The President may scheduled meetings during the off season when
necessary.

A motion requires a second and a simple majority to pass.
Section 1:
The officers of the G.S.C.A.S.L. shall be the President, Executive
Vice-President, Vice-President Youth Division, Vice-President Senior/Open Division,
Secretary, and Treasurer.
Section 2:
A simple majority vote of the members present at the annual meeting
shall elect the officers for the forthcoming year.
Section 3:
In order to be eligible to hold an elected office within this
association, an individual must have been a member of the G.S.C.A.S.L. for a
minimum of one year, in good standing; Except for the inaugural set of officers.
Section 4:
Removal from Office:
Section 1:
The Executive Board shall have the power to adopt bylaws regulating the
affairs and prescribing the duties of the officers of the association, which bylaws
shall not be inconsistent with this constitution.
Section 1:
Upon the dissolution of the organization, assets shall be distributed
for one or more exempt purposes within the meaning of section 501(c) (4) of the
Internal Revenue Code, or some other applicable section of the Internal Revenue Code
of 1954, or corresponding section of any future federal tax code, or shall be
distributed to the federal government, or to a state or local government, for a
public purpose. Any such assets not disposed of shall be disposed of by the Court
of Common Pleas of the county in which the principal office of the organization is
then located, exclusively for such purposes or to such organization or organizations,
as said Court shall determine, which are organized and operated exclusively for such
purposes.
Section 1:
One representative from each club will become a member of the
G.S.C.A.S.L.. A club shall be made up of one or more teams working as a single
organization.
Section 2:
The voting rights of each club representative shall be by the following schedule:

The determination of how many teams a club has for voting purposes is
based upon the number of teams that club has in good standing at the end of the
prior Fall season.
Section 1:
This constitution may be amended by a quorum of the Board of Trustees
provided a copy of the proposed amendment shall have been mailed to each member of
the existing Board of Trustees at least thirty (30) days before the date of the
meeting at which the proposed amendment is to be acted upon.
Section 2:
The power to amend the constitution according to the aforementioned
guidelines rests solely with the Board of Trustees.
Section 3:
The Board of Trustees may solicit the membership of the G.S.C.A.S.L. or
entertain written proposals from the membership for said amendments to the
constitution or bylaws.
Section 1:
In general:
Any former, present or future member, trustee, officer or
employee of the Greater Stark County Amateur Soccer League, Inc.
(or the legal representative of such) shall be indemnified by the G.S.C.A.S.L.
against reasonable costs and expenses
(exclusive of any amount paid the Greater Stark County Amateur Soccer League, Inc.
in settlement) actually and reasonably incurred in connection with any action,
suit or proceeding to which any such member, trustee, officer or employee or it's
legal representative may be made a party be reason of his being or having been such
member, trustee, officer or employee of the G.S.C.A.S.L.; provided said action, suit
or proceeding is:
(A) prosecuted against the member, trustee, officer or employee or
against his legal representative to final determination, and it is
not finally adjudged in the action, suit or proceeding that he had
been negligent or guilty of misconduct in the performance of his
duties as a member, trustee, officer or employee; or
(B) settled or otherwise terminated against the member, trustee,
officer or employee or his legal representative without a final
determination on the merits, and it is determined by the Board of
Trustees (or, at the option of the Board of Trustees, by a
disinterested person(s) selected by the Board of Trustees for that
purpose) that the member, trustee, officer or employee had not, in
any substantial way, been negligent or guilty of misconduct in the
performance of his duties as charged in the action, suit or
proceeding.

Insurance:
The Executive Board is hereby authorized and directed to
purchase and maintain insurance on behalf of any member, trustee, officer or
employee of the G.S.C.A.S.L. against any liability asserted against him and incurred
by him in any such capacity, whether or not the G.S.C.A.S.L. would have the power to
indemnify him against such liability under this article.
Section 4:
General:
(A) The indemnification provided for in this article may also be
extended by the G.S.C.A.S.L. to encompass any action, suit or
proceeding to which any such member, trustee, officer or employee
or his legal representative may be a party by reason of this being
or having served at the request or on behalf of the Greater Stark
County Amateur Soccer League, Inc. as a trustee, officer or
employee of another organization, domestic or foreign, non-profit
or for profit, partnership, joint venture, trust, or other
enterprise, organization or association.
(B) Neither a finding of negligence or misconduct to persons other than
the Greater Stark County Amateur Soccer League, Inc., nor a
judgment of conviction (whether pursuant to a plea of nolo
contendere or its equivalent, or otherwise) in any criminal action,
suit or proceeding, shall constitute a determination of negligence
or misconduct in the performance of duty if it is determined by the
Board of Trustees (or, at the option of the Board of Trustees, by a
disinterested person(s) selected by the Board of Trustees for that
purpose) that the person acted in good faith and in a manner which
the person reasonable believed to be in or not opposed to the best
interest of the Greater Stark County Amateur Soccer League, Inc.
and (with regard to any criminal action or proceeding) that person
had no reasonable cause to believe that his conduct was unlawful.
(C) The right of indemnification conferred hereby shall be extended to
any threatened action, suit or proceeding, and the failure to
institute it shall be deemed its final determination.
(D) The right of indemnification contained herein shall be in addition
to and not in restriction or limitation of any other right to which
any member, trustee, officer or employee may be entitled by law,
agreement, vote of the membership or otherwise.
Section 1:
This constitution shall become effective January 31, 1992.
The Board of Trustees of the Greater Stark County Amateur Soccer League, Inc. amended the Bi-Laws as follows:
Section 1:
Clubs will be held responsible for the conduct of their coaches,
club officials, players, and spectators. If any of the aforementioned engage in
unbecoming conduct before, during or after either home or away games,
the Disciplinary committee will take action according to the following.
Persons are defined as players, coaches, club officials and spectators.
a. Persons guilty of violent conduct or serious foul play (Law XII section (n) FIFA Laws Of The Game) before, during, or after the game shall receive a two (2) game minimum suspension for that offense.
Suspension minimum reduced to two games plus the game red card occurred.b. Persons guilty of using foul or abusive language (Law XII section (o) FIFA Laws Of The Game), or threatening gestures, before, during, or after the game against other players, coaches, referees, officials, or spectators, shall receive a minimum of a one (1) game suspension as reported by the referee.
Suspension minimum reduced to one game plus the game red card occurred.c. Any persons sent off the field by the referee shall receive a minimum suspension of the game they were ejected. The G.S.C.A.S.L., Inc. Disciplinary board will be the sole judge of length of suspension, according to the seriousness of the offense, as judged by the referee and coaches report.
Suspension minimum reduced to the game red card occurred at the discretion of the Disciplinary Board.
